DISTRIBUTOR AGREEMENT
This document includes Distributor Registration Form available on the company website www.saffronlifestyle.co.in and Distributor Agreement (herein after referred to as “Agreement”) between the Distributor and Saffroness Nex G Megamart Pvt. Ltd.. The Distributor’s identification data shall be attached on the website.

The Distributor Agrees:

1. To acts as an independent Distributor of Saffroness Nex G Megamart Pvt. Ltd..
   
2. The Distributor has to certify that the information given in distributor registration form is correct and any information found false or incorrect will make the distributor liable to damages and legal consequences of any nature
   
3. The Distributor must be a major and not below 18 years of age.
   
4. The Distributor hereby confirms that he/she has entered into this Agreement as an independent contractor. When purchasing Saffroness Nex G Megamart Pvt. Ltd. products, the Distributor shall act as independent contractor, acting in his/her own name, at his/her own responsibility and for his/her account. This Agreement envisages principal to principal relationship.
   
5. The Distributor shall not indulge himself/herself in any deceitful activities at the time of recruiting new distributors. In addition, the Distributor shall present Saffroness Nex G Megamart Pvt. Ltd.’s products and all its facts concerning the business opportunity with Saffroness Nex G Megamart Pvt. Ltd. in truthful and honest manner.
   
6. The Distributor shall not compel other distributors to order through him/her, or to order excessive amount of products. All distributors shall place an order directly to Saffroness Nex G Megamart Pvt. Ltd..
   
7. It is the duty of the Distributor to inform Saffroness Nex G Megamart Pvt. Ltd. , if there is any change in his/her accounting information and if he fails to do so, he/she would not hold responsible Saffroness Nex G Megamart Pvt. Ltd.s if the trade discount payment is delayed for the reasons beyond Saffroness Nex G Megamart Pvt. Ltd.'S control.

Other Rules and Policies:

1. Saffroness Nex G Megamart Pvt. Ltd. has a right to reject the registration form for any reason, at its discretion, including if the form contains incomplete, inaccurate, false or misleading information.
2. This Agreement is not entered into on a personal to personal basis and neither this Agreement nor any of the rights or obligation of Distributor arising under this Agreement may be assigned or transferred without the prior written consent of Saffroness Nex G Megamart Pvt. Ltd..
3. Saffroness Nex G Megamart Pvt. Ltd. may provide sponsors or up line distributors with personal information of the Distributor such as membership number, full name and address, etc.
4. Saffroness Nex G Megamart Pvt. Ltd. may provide outsourcing companies (i.e. logistic companies, Courier companies, etc.) personal information such as address of the Distributor in order to provide the Distributor with service.
5. Saffroness Nex G Megamart Pvt. Ltd. may provide court or any other forum, police and any other similar organizations with personal information of the Distributor in the case of receiving request in writing.
6. Saffroness Nex G Megamart Pvt. Ltd. understands it is very important to protect personal information on purchased products or service which may identify individual.
7. Under no circumstances any person is authorized to repackage or in any way alter the packaging or labels/logos, unless approved by Saffroness Nex G Megamart Pvt. Ltd.

Legal/Tax Liability:

1. Any commissions that Distributor obtains are regarded as their income. Distributors shall file income tax return by themselves.
2. Any commissions that Distributor obtains are regarded as their income and subject to the deduction of TDS as per the rates applicable by Income Tax Act. Any other deduction required by any other law/authority will be applicable.
3. The Distributor is responsible for complying with all the applicable state taxes, octroi, toll taxes and all other local laws as may be applicable to him/her from time to time and obtaining all licenses and registration as may be required for running his/her business from time to time.
4. Any dispute will be subject to Rajkot Jurisdiction.

Assignment:

1. The Distributor can’t assign their Distributorship right to any other person.

Indemnification:

1. The Distributor also agrees to indemnify Saffroness Nex G Megamart Pvt. Ltd. against any third party claim, loss , cost, damage, attorneys fees and expenses whatsoever which Saffroness Nex G Megamart Pvt. Ltd. may incur by any reason, in making investigation, in prosecuting, or defending any action which may be brought in connection therewith; or in enforcing any of the terms of the Agreement contained herein.

Effective Date and Termination of Contract:

1. This Agreement shall be effective upon the date of acceptance by Saffroness Nex G Megamart Pvt. Ltd. .
2. The Distributor may withdraw from the membership on his/her own reasons but with a prior written notice of 15 days without any claims from Saffroness Nex G Megamart Pvt. Ltd. whatsoever, except for the balance due. The same Distributor cannot re-enter Perfect Lifeneeds Mart Pvt. Ltd. as distributor again within two year.
3. Saffroness Nex G Megamart Pvt. Ltd. may terminate the Agreement with immediate effect if the Distributor violates any of the terms and conditions of the Agreement or makes any false statement in the Registration Form.
4. Upon termination, all rights and privileges enjoyed by the Distributor under this Agreement shall end immediately. The Distributor shall discontinue all use of any Saffroness Nex G Megamart Pvt. Ltd. trademarks, trade name, copyrights or confidential information/materials.

The Distributor agrees and undertakes that he/she has read and understood the Business plan and product details and he/she is entering into the agreement with Saffroness Nex G Megamart Pvt. Ltd. with his/her consent.
